These Terms of Service ("Terms") govern your access to and use of the VisualsBySaad platform (the "Platform"), operated by VisualsBySaad ("we," "us," "our"), based in St. John's, Newfoundland and Labrador, Canada. The Platform is used by three distinct kinds of people, and these Terms apply to all of them:

  • Businesses and their owners — wedding and event photography/coordination businesses (including VisualsBySaad itself) that use the Platform to run their own client work;
  • Vendors — photographers, caterers, DJs, florists, and other service providers who get booked onto events through the Platform;
  • Clients — the couples and individuals whose events are being planned, and the venues participating in that planning.

By creating an account, accepting an invitation, or otherwise using the Platform, you agree to these Terms. If you don't agree, don't use the Platform.

1. What the Platform Is

VisualsBySaad is software that helps wedding and event businesses manage clients, vendors, venues, guests, payments, and day-of logistics. We are a technology provider. We are not a party to the actual photography, coordination, catering, or other services a business or vendor provides to their own clients — that relationship, and any contract governing it, is between the business and their client directly.

2. Accounts

You're responsible for keeping your login credentials secure and for everything that happens under your account. Tell us promptly if you believe your account has been compromised. You must be old enough to enter a binding contract in your province or territory to create an account — this Platform is not directed at children, and accounts should not be created by or for anyone under 18.

3. Businesses and Subscription Tiers

Businesses access the Platform under a subscription tier (currently Starter, Pro, or Studio), each with different features and storage limits. Subscription billing, trial terms, and what happens on cancellation are covered separately in our Refund & Cancellation Policy, which is part of these Terms.

A business is responsible for the accuracy of the data they enter about their own clients and guests, for obtaining any consents required to collect and share that data (see our Privacy Policy regarding guest information specifically), and for their own contract terms with their clients — which the Platform allows them to configure but does not draft or guarantee the legal sufficiency of.

4. Vendors

Vendors may be invited onto an event by a business, or may sign up directly and may also subscribe to a paid tier for additional features. A vendor's relationship with the business and client they're booked with is their own — the Platform facilitates scheduling, communication, and payment tracking but is not a party to that booking.

5. Clients and Guests

Clients use the Platform, generally at no direct cost to them, through the business they've hired. Guest information (names, RSVP status, dietary needs, contact details) is typically entered by the client on behalf of their guests, not by the guests themselves — this is addressed specifically in our Privacy Policy.

6. Payments

Payments on the Platform are processed through Stripe. We do not store full payment card details ourselves. A business using Stripe Connect to receive their own clients' payments directly is responsible for their own tax, accounting, and Stripe account obligations.

7. Acceptable Use

You agree not to use the Platform to collect data you don't have the right to collect, to send communications (including SMS) to anyone who hasn't consented as described in our SMS Consent Policy, to attempt to access another business's or user's data without authorization, or to use the Platform for any unlawful purpose.

8. Data Ownership

A business owns the data they enter about their own clients and operations. We act as a processor of that data on the business's behalf, as described in our Data Processing Terms. We do not sell personal information.

9. Service Availability

We aim for the Platform to be reliably available but don't guarantee uninterrupted access. Features depending on third-party services (Stripe for payments, Twilio for SMS, Supabase for hosting) are subject to those providers' own availability.

10. Limitation of Liability

The Platform is provided "as is." To the maximum extent permitted by law, VisualsBySaad is not liable for indirect, incidental, or consequential damages arising from use of the Platform, including data loss, missed communications, or disputes between a business and their own clients or vendors.

11. Termination

We may suspend or terminate an account for violation of these Terms. A business or individual may close their own account at any time, subject to the Refund & Cancellation Policy for any active subscription.

12. Changes to These Terms

We may update these Terms as the Platform evolves. Material changes will be reflected in the "Last updated" date above, and significant changes may require re-acceptance before continued use.

13. Governing Law

These Terms are governed by the laws of Newfoundland and Labrador and the federal laws of Canada applicable therein.
